Review & accept the NDA

This agreement is between you (the “Recipient”) and Markondo, together with the developer, sponsor, or seller offering each deal (the “Disclosing Parties”). By clicking “Accept,” you agree to the terms below for every deal you unlock.

You are being given access to confidential information about off-market and pre-market real estate opportunities (each, a “Deal”) for the sole purpose of evaluating a possible investment for yourself or for a client you represent.

“Confidential Information” means all non-public information shown in a deal room, including the project name and address, pricing and price per unit, unit counts and availability, financial and payment terms, the identity and contact details of the developer/sponsor/seller, location specifics, documents, and photos — whether or not marked “confidential.”

You will keep the Confidential Information strictly confidential, use it only for the purpose above, and not copy, publish, post, or share it with anyone except your own advisors who need it to help you evaluate the Deal and who are bound by confidentiality at least as protective as this agreement. You will protect it with at least the care you use for your own confidential information.

You will not use the Confidential Information to contact, negotiate with, or transact with a developer, sponsor, seller, or their representatives outside the Markondo platform, or to otherwise bypass Markondo, in order to pursue a Deal you learned about here. You also will not use it to identify and approach Markondo's sources to divert opportunities away from the platform.

These obligations do not apply to information that is or becomes public through no fault of yours, that you already lawfully held free of any confidentiality duty, or that you independently developed without using the Confidential Information. If you are legally compelled to disclose, you may do so after giving Markondo reasonable prior notice where the law permits.

Deal information is provided “as is,” without any warranty as to its accuracy or completeness. Nothing here obligates anyone to proceed with any Deal, and nothing here creates a brokerage, agency, partnership, joint venture, or fiduciary relationship between you and the Disclosing Parties.

Your confidentiality and non-circumvention obligations continue for two (2) years from the date you first access each Deal.

You acknowledge that a breach may cause irreparable harm for which money damages are inadequate, and that Markondo and the Disclosing Parties may seek injunctive relief in addition to any other available remedy.

Clicking “Accept” forms a binding agreement and creates a timestamped electronic record of your acceptance. This agreement is governed by the laws of the jurisdiction designated by Markondo [governing law to be finalized], without regard to its conflict-of-laws rules.
